Welcome to Mainex. These Terms of Service ("Terms") govern your access to and use of the Mainex mobile application and related services (collectively, "the Service") operated by Alan Jacinto, an individual sole proprietor based in California, USA ("Mainex", "we", "us", or "our"). Please read them carefully.
By creating an account, downloading, installing, or otherwise accessing or using Mainex, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" include both you individually and that organization.
Mainex is a fleet management platform that connects trucking companies with repair workshops. The Service enables users to:
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice, although we will make reasonable efforts to provide advance notice of material changes.
To use Mainex, you must be at least 18 years of age and authorized to act on behalf of the trucking company or workshop you represent. By using the Service, you represent and warrant that you meet these eligibility requirements.
The Service is intended for B2B (business-to-business) use by fleet management professionals. It is not designed for, marketed to, or intended for use by minors.
You agree not to do any of the following while using the Service:
We reserve the right to investigate and take appropriate action — including suspending or terminating accounts — against anyone who violates these terms.
"User Content" means any content you upload, submit, or otherwise make available through the Service, including photos, issue descriptions, job notes, and vehicle records.
You retain all ownership rights and intellectual property rights in your User Content. By uploading User Content to the Service, you grant Mainex a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and process that User Content solely for the purpose of providing and operating the Service for you and members of your organization.
This license terminates when you delete the User Content, when you delete your account, or when the underlying issue or job is deleted, whichever occurs first — except as needed for backup retention or to comply with legal obligations.
You represent and warrant that you own or have the necessary rights to upload your User Content and that doing so does not violate the rights of any third party.
The Mainex name, logo, app design, user interface, source code, and all other materials provided through the Service are owned by Alan Jacinto and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to our intellectual property, except for the limited right to use the Service in accordance with these Terms.
You may not use, copy, modify, distribute, sell, or create derivative works of any part of the Service or its underlying technology without our prior written consent.
Your use of the Service is also governed by our Privacy Policy, available at https://alanjacinto.github.io/mainex-legal/privacy-policy.html. The Privacy Policy describes how we collect, use, store, and protect your personal information, and what rights you have with respect to that information. By using the Service, you acknowledge and agree to the practices described in the Privacy Policy.
You agree to indemnify, defend, and hold harmless Alan Jacinto and his affiliates, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
Either party may terminate the relationship at any time. You can delete your account at any time from within the App by navigating to Account Settings and selecting "Delete my account." Account deletion is immediate and irreversible.
We may suspend or terminate your account or access to the Service at any time, with or without cause, including if we believe you have violated these Terms. Where practicable, we will provide reasonable notice before suspension or termination.
Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination — including, without limitation, intellectual property, disclaimer of warranties, limitation of liability, indemnification, governing law, and dispute resolution — shall survive.
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law principles. To the extent any matter is governed by federal law, U.S. federal law shall apply.

Before filing any formal claim, the parties agree to attempt to resolve the dispute through good-faith negotiation. You agree to first contact us at alan98.aj@gmail.com with a written description of the dispute. If the dispute is not resolved within thirty (30) days of that notice, either party may proceed to formal dispute resolution.
If the dispute is not resolved informally, you and we agree that any claim arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration administered by JAMS pursuant to the JAMS Streamlined Arbitration Rules and Procedures, conducted in San Francisco, California, by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
Each party shall bear its own attorneys' fees and costs unless the arbitrator awards them otherwise as permitted by applicable law.
Notwithstanding the above:
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Mainex regarding your use of the Service and supersede any prior agreements or understandings, whether written or oral, relating to that subject matter.
Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or of our right to enforce it later.
We may update these Terms from time to time to reflect changes in our practices, the Service, or applicable law. When we make material changes, we will notify users via in-app notification at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the revised Terms.
If you do not agree to the updated Terms, you must stop using the Service and may delete your account.
